DOCUMENTS DELIVERED
Private Placement Offering Memorandum: (60–65 pages, not including the pages in your business plan)
This document is given to the investor, and you should include your business plan as an addendum. Whether they invest or not, the investor keeps the PPM.
Subscription Agreement (20–22 pages)
The investor signs this document and returns it to you with their investment check. It also serves as a receipt and proof that you have given the investor the Offering Documents.
Operating Agreement: (Only necessary if organized as an LLC 17–20 pages)
The investor signs the Operating Agreement and returns it to you with the Subscription Agreement and their check. Note: Many firms charge an additional fee for creating this document. We don’t.
Accredited Investor Questionnaire: (1 page)
The investor’s answers to these questions will allow you to classify the investor as an “accredited or non-accredited investor.”
The business plan is not included and must be provided by the client.
What you can expect:
Upon receiving your initial payment, I will provide you with a list of talking-point questions. Once you return your ‘talking points’ answers, I will provide written recommendations based on your answers. We will then begin discussions and finalize your offering structure and the terms you will offer your investors. When done, you will have made all the decisions about the structure of your offering (PPM) and know and understand all the reasons for your choices.
Preparation time:
It will take 10-14 business days to complete the offering documents once the client finalizes all the information to be included in the PPM.
Fee: 3,800
The fee is $3,800 and is paid in two equal payments. There are no additional or hidden charges.
The first payment is $1,900, and the second and final payment of $1,900 is due upon completion of the documents.
Payment Information:
Work begins the next day after receipt of the 1st payment.
- 1st Payment: $1,900
- 2nd Payment: $1,900 – Due upon completion of the documents.
Payment Options:
Credit Cards: I accept all major credit cards.
Note: Please let me know if you would like to pay by credit card. I will email you an invoice; you can click the link to pay. I use the PayPal Business Portal.
Financing: When paying by credit card, you will have the option to finance the invoice. No interest is charged if the loan is paid in full within 6 months.
